Assignment Description SELECTION FOR CONSULTANTS BY THE WORLD BANK GROUP REQUEST FOR EXPRESSIONS OF INTEREST Electronic Submissions through World Bank Group eConsultant2 https://wbgeconsult2.worldbank.org/wbgec/index.html ASSIGNMENT OVERVIEW Assignment Title: 1274567 - Rail Project in Brazil: Legal Consultant Assignment Countries: - Brazil ASSIGNMENT DESCRIPTION The International Finance Corporation (IFC) is being considered by a government-client in Brazil to be the lead advisor to structure and promote a PPP program for a 1900 km railway corridor (the Project) in Brazil, through which 4 railway segments will be awarded as O&M or DBFOM (Design, Build, Finance, Operate and Maintain) concessions to the private sector. The main objectives of the consultancy are (i) conduct legal and regulatory due diligence for the rail sector and rail concessions, identify the main issues and risks and publish the findings in a Legal Review report; (ii) prepare a thorough risk matrix indicating the best risk allocation methods for the Project; (iii) propose recommendations for new regulation or amendment to existing regulation to improve the interoperability and third-party infrastructure access rights of the rail system and the Projects integration with other infrastructure facilities such as ports; (iv) recommend and elaborate contractual mechanisms and recommendations, in particular around access rights, in collaboration with the KPI and access rights consultant; (v) prepare legal documents including bid notice, technical notes, draft concession agreement, memorandums, amongst others; (vi) provide legal and technical support at public consultation and hearings and during and after the bidding process until commercial close is reached. INDIVIDUAL / FIRM PROFILE The consultant will be a firm. SUBMISSION REQUIREMENTS The World Bank Group now invites eligible firms to indicate their interest in providing the services. Interested firms must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff, etc. for firms; CV and cover letter for individuals).
