Description:
IFC is hiring a legal advisor to support the structuring of a water and sanitation PPP in southeastern Brazil. The consultant will provide legal expertise throughout the transaction process, ensuring alignment with Brazil-s regulatory framework and international best practices.The scope includes:Conducting legal due diligence on the current institutional and contractual landscape across approximately 200 municipalities;Supporting the drafting and review of key transaction documents, including the concession agreement, bidding documents, and annexes;Advising on risk allocation, regulatory compliance, and enforceability of contractual provisions;Ensuring that the legal structure supports the project-s objectives of universal service coverage, affordability, and private sector participation;Assisting IFC and government counterparts during public consultations, market sounding, and the bidding process, including responses to legal queries from potential investors.The consultant will work closely with IFC and local stakeholders to ensure the legal robustness and transparency of the transaction, while also addressing the specific needs of vulnerable municipalities.
